1. Acceptance of Terms
By creating an account, accessing, or using the HoldDate platform ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including venue owners, staff members, and any other individuals who access the Service.

HoldDate is a cloud-based venue management platform designed for event professionals. The Service includes:
3. Account Registration
- You must provide accurate, complete, and current information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately at support@holddate.com of any unauthorized use of your account.
- One account per business entity. You may invite staff members through the team management feature.
- You must be at least 18 years old to create an account.
4. Subscription Plans & Billing
Free Trial
New accounts receive a 14-day free trial with full access to all features. No credit card is required to start the trial.
Pro Plan — $79/month
Billed monthly. Includes unlimited events, staff accounts, advanced reporting, multi-space management, BEOs, and priority support. You may cancel at any time; your access continues until the end of the current billing period.
Enterprise Plan — Custom pricing
For large venues with complex requirements. Includes everything in Pro plus dedicated account management, custom integrations, SLA guarantees, and white-label options. Contact support@holddate.com for pricing.
We reserve the right to change pricing with at least 30 days' advance notice via email.
5. Platform Fees
HoldDate charges a 2% platform fee on all client payments processed through the Service via Stripe Connect. By default, this fee is automatically deducted from each transaction before payout to your connected Stripe account. Standard Stripe processing fees (typically 2.9% + $0.30 per transaction) also apply separately and are charged by Stripe.
Fee Pass-Through Option.Venues may elect to pass the 2% platform fee to their clients via the Settings page. When enabled, the platform fee is added on top of the invoice amount at checkout, meaning the client's total charge will be higher than the invoiced amount. It is the venue's responsibility to inform their clients that this surcharge applies. HoldDate is not responsible for disputes arising from a venue's decision to pass fees to clients.
The platform fee applies regardless of subscription plan. It covers payment infrastructure, fraud protection, and platform maintenance.
6. Stripe Connect & Payment Processing
To receive client payments through HoldDate, you must connect a Stripe account via Stripe Connect. By connecting your Stripe account, you agree to Stripe's Connected Account Agreement.
- You are responsible for maintaining an active, compliant Stripe account.
- HoldDate is not liable for Stripe service outages, payout delays, or disputes.
- Chargebacks and payment disputes are handled between you, your client, and Stripe directly.
- HoldDate platform fees are non-refundable once a transaction has been processed.
- If a venue enables the fee pass-through option, clients will be charged the invoice amount plus the 2% platform fee at checkout.
7. Data Ownership
You retain full ownership of all data you create or upload to HoldDate — including client information, events, contracts, invoices, BEOs, and messages. HoldDate does not claim any intellectual property rights over your content. You may export your data at any time. Upon account deletion, we will remove your data within 30 days (subject to legal retention requirements).
8. Acceptable Use
You agree not to:
- Use the Service for any illegal, fraudulent, or unauthorized purpose.
- Attempt to gain unauthorized access to other accounts, the database, or server infrastructure.
- Interfere with or disrupt the Service's operation, servers, or networks.
- Upload, transmit, or distribute malicious code, viruses, or harmful software.
- Harvest or scrape data from the platform without written permission.
- Resell, sublicense, or redistribute access to the Service without authorization.
- Use the Service to send spam, unsolicited communications, or harass clients.
- Impersonate another business, person, or entity.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance, updates, or unforeseen outages may cause temporary unavailability. We will communicate planned downtime in advance where possible. HoldDate is not liable for any business losses caused by service interruptions.
10. Limitation of Liability
The Service is provided "as is" without warranties of any kind, express or implied. HoldDate is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service — including lost revenue, lost bookings, or data loss. Our total liability to you shall not exceed the total amount you paid to HoldDate in the 12 months preceding the claim.
11. Termination
Either party may terminate the relationship at any time:
- You may cancel your subscription at any time from the billing settings page. Access continues until the end of the current billing period.
- You may delete your account by contacting support@holddate.com. Data will be removed within 30 days.
- We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk to the platform.
- Upon termination, your right to access the Service ceases immediately.
12. Changes to These Terms
We may update these Terms of Service from time to time. We will notify you of material changes via email and by updating the "Last updated" date at the top of this page. Continued use of the Service after changes take effect constitutes your acceptance of the updated terms.
